3.         Constitutional Amendment Resolution –

Special Resolution: That the proposed amendments to the Constitution (marked as “Annexure A”) as recommended by the Board be adopted.

Special Resolution means a resolution passed by at least 75% of the votes cast by members entitled to vote on the resolution in accordance with Clauses 32.2 (b) and 32.4. Clause 40.1 states that the Constitution may be altered, rescinded or added to only by a Special Resolution of the Company.

EXPLANATORY MEMORANDUM for the “Constitutional Amendment Resolution” – Pursuant to a joint meeting of the Board and Council on 10 September 2023, the Board resolved to adopt the following proposed amendments and to recommend to members for approval at the forthcoming General Meeting on 22 October 2023. The main reasons for the amendments are - 

•          Change of composition of directors where six (6) are to be elected and up to three (3) to be appointed;

•          At least one of the directors must have experience in the provision of clinical care to the extent required under the Aged Care legislation;

•          Change in the quorum of the number of directors attending Board meeting;

•          Current provisions restricting the borrowing powers of the board and the sale of real property are outdated and not in line with practices in the NFP sector. ACCA is now a medium size company that seeks to reduce cumbersome operating procedures, while maintaining a strong corporate governance framework to take advantage of investment opportunities such as the purchase and sale of real property in a fast-moving environment.
